General Terms and Conditions

General Terms and Conditions for Online Services (“these Terms”) are entered into by and between NAMEMART PTE. LTD. (“us”, “we”, “our” or “the Company”) and the entity or individual (“member”, “user” or “you”) that purchases or uses our products and services.

These General Terms, together with the Product Specific Rules for the applicable Services and the relevant outstanding Order Forms, shall be read as one single instrument and collectively form the entire agreement between the parties (the “Agreement”). By clicking the “Complete Payment” button, completing the purchase, or using the Service, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement. In case of any objection or incomprehension of this Agreement, please do not proceed with further operations. Otherwise, it indicates that you have accepted the following terms and conditions and agree to be bound by this Agreement.

For any subsequent new service categories shall be governed by these Terms upon publication of their corresponding Product Specific Rules, without any amendment to these Terms.

1. Definitions

1.1 Services means all Internet services offered by us as set forth in the applicable Product Specific Rules, including but not limited to email services, SSL certificate services, and any additional service categories subsequently introduced.

1.2 Product Specific Rules means the specific rules and regulations established for a particular Service, attached as appendices to these Terms, which set forth the detailed content, special obligations, specific rules, and disclaimers applicable to such Service.

1.3 Order means the purchase order submitted by you through our platform and paid for by you, which specifies the Service type, term, specifications, fees, and other relevant details.

2. Service Description

2.1 We shall provide the Services to you in accordance with the applicable Product Specific Rules and your Order. The specific features, specifications, and usage restrictions of the Services shall be as set forth in the Product Specific Rules and the service plan you have purchased.

2.2 We reserve the right to adjust the features and functionalities of the Services in response to business developments, provided that such adjustments do not materially diminish the core entitlements of the Services you have subscribed to, and no separate consent from you shall be required in such case.

3. User Rights and Responsibilities

3.1 Accuracy of Information: You must provide true, accurate, and complete information. NameMart shall not be liable for any service delay or failure arising from inaccurate or incomplete information.

3.2 Compliance with Laws: You shall use all Services in compliance with the laws of Singapore and any mandatory applicable laws of the jurisdiction in which you use the Services, and shall not infringe upon any third party’s legal rights or interests.

3.3 Account Security: You bear sole and full responsibility for all activities, content, and security matters under your account. You shall safeguard your account credentials with due care. Any consequences arising from unauthorized access to or loss of data resulting from your failure to maintain proper security measures shall be solely borne by you.

4. Acceptable Use Policy

You undertake and covenant that you shall not use the Services for any illegal, unlawful, or otherwise actionable activities that infringe upon the rights or interests of others, including but not limited to:

4.1 Sending, distributing, or facilitating the transmission of bulk unsolicited emails, commercial advertisements, chain letters, or other forms of spam;

4.2 Transmitting viruses, trojans, worms, malware, or disseminating links to phishing sites or destructive programs;

4.3 Storing, transmitting, or publishing any content that is illegal, tortious, fraudulent, defamatory, obscene, or hateful, or that otherwise violates applicable laws, regulations, or public order and good morals;

4.4 Interfering with, disrupting, or attempting to gain unauthorized access to our network systems, servers, management platforms, or other users' services;

4.5 Using the Services to provide technical support, encryption, or cover for any illegal websites or unlawful activities;

4.6 The specific prohibited activities applicable to each Service shall be governed by the corresponding Product Specific Rules.

5. Fees, Payment & Renewal

5.1 Adjustment of Fees: NameMart may adjust service fees and promotions based on market conditions. Updates will be posted on our official website.

5.2 Payment Terms: The Service will only be activated or continued after full payment is received. In the event of non-payment when due, NameMart shall have the right to cancel the applicable order or suspend the Service.

6. Term and Termination

6.1 Effectiveness and Term

6.1.1 This Agreement shall become effective on the date on which we receive payment and successfully activate the corresponding Services for you. If you purchase multiple Services simultaneously, these Terms shall become binding on all such Services as of the date of activation of the first Service.

6.1.2 The specific duration of each Service shall be as set forth in the applicable Product Specific Rules and the corresponding Order.

6.2 Expiration and Termination

Upon expiration of a Service and your failure to renew it, the corresponding Service shall automatically terminate. The specific rules applicable to the expiration and termination of different Services shall be governed by the corresponding Product Specific Rules.

6.3 Termination by You

You may terminate the Service at any time via the member center. Prepaid fees for the remaining term shall not be refundable, except as otherwise required by applicable laws or regulations.

6.4 Termination for Breach

In the event of any breach of this Agreement by you, we reserve the right to immediately terminate or suspend your Services without prior notice and without refunding any fees.

6.5 Consequences of Termination

Upon termination of a Service, your right to use such Service shall immediately cease. We shall have the right to handle the data and files associated with the terminated Service in accordance with the Product-Specific Rules, and we shall not be liable for any loss or damage arising therefrom.

7. Disclaimer and Liability

7.1 Service Disruptions: Brief service interruptions caused by routine server maintenance, configuration updates, or normal internet congestion are expected and normal. NameMart disclaims any liability in connection therewith.

7.2 Force Majeure: NameMart shall not be held responsible for any loss or damage resulting from events beyond its reasonable control, including, without limitation, natural disasters, war, governmental actions, cyber attacks (hacking), or infrastructure failures.

7.3 Exclusion of Consequential Damages: To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of goodwill.

7.4 The specific disclaimers and exclusions applicable to each Service shall be as set forth in the corresponding Product Specific Rules.

8. Intellectual Property

8.1 Intellectual Property: All intellectual property rights in the software, documentation, and technical support provided by NameMart are owned by NameMart or its licensors.

8.2 You are granted only a right to use the Services. Without our prior written consent, you shall not reverse engineer, decompile, disassemble, or in any manner copy, distribute, or engage in secondary development of any related software or tools.

9. Data Confidentiality

9.1 We shall process your personal data in accordance with the requirements of the Personal Data Protection Act (PDPA) of Singapore, and shall use such data solely for the necessary purposes of service activation, operation and maintenance, customer support, and compliance verification.

9.2 We shall not disclose, edit, or make public your service data or personal information to any third party, except (i) as required by applicable laws or valid legal proceedings, or (ii) to the extent necessary to protect public safety, property, or our material legitimate rights and interests.

10. Governing Law and Dispute Resolution

The formation, validity, interpretation, performance, and all disputes relating to this Agreement shall be governed by the laws of Singapore, without regard to any conflict of laws principles, and shall be interpreted and enforced in accordance with Singapore law. Any lawsuit, arbitration, or dispute resolution proceeding relating to this Agreement shall be submitted to the exclusive jurisdiction of the courts of Singapore.

Appendix 1: Product Specific Rules for Email Services

These Product Specific Rules are an integral part of the General Terms and Conditions and apply to the Email Services. To the extent of any inconsistency between these Rules and the General Terms and Conditions, these Rules shall control. Any matters not covered herein shall be subject to the General Terms and Conditions.

1. Service Description

1.1 Core Functionality: NameMart provides the User with email storage space and an email system under the domain owned by the User, enabling the User to send, receive, and manage emails.

1.2 Requirement: You must legally own and control the domain name used as the suffix of email address. You are solely responsible for setting up the prefix of the email address.

1.3 Allocation: The specific number of email accounts that may be created and the storage capacity shall be determined by the service plan you have purchased.

2.User Rights and Responsibilities

2.1 Domain Configuration: You shall ensure that your domain is properly configured (e.g., MX records and DNS settings). NameMart shall not be liable for any service interruption caused by domain expiration, transfer out, or misconfiguration.

2.2 Usage Limitation: If your data storage volume or account usage exceeds the limits of the plan you have purchased, the Service may be partially or fully suspended (e.g., inability to receive new emails), and data loss may occur. NameMart assumes no liability for any such consequences.

2.3 Data Storage: You are solely responsible for regularly backing up all data stored within the Service. NameMart is responsible for routine server maintenance, which does not include backup of your personal data. NameMart assumes no liability for any data loss or corruption.

3. Expiration and Termination

Upon expiration of the Service and your failure to renew, we reserve the right to permanently delete all files, emails, and data associated with the account, and we shall not be liable for any loss or damage arising therefrom.





Appendix 2: Product Specific Rules for SSL Certificate Services

These Product Specific Rules are an integral part of the General Terms and Conditions and shall govern the SSL Certificate Services. To the extent of any inconsistency between these Rules and the General Terms and Conditions, these Rules shall control. Any matters not covered herein shall be subject to the General Terms and Conditions.

1. Service Description

1.1 Core Functionality: We provide you with application assistance, review coordination, certificate issuance and delivery, and supporting technical support services for SSL Certificates, for the purpose of enabling encrypted data transmission and server authentication.

1.2 Requirements: You must legally own or hold the authorized right to use the domain name, and shall cooperate in completing all processes required by the Certificate Authority, including domain validation and entity identity verification.

1.3 Service Specifications: The specific certificate type, encryption level, validation method, and functional entitlements shall be as set forth in the service plan you have purchased.

2. User Rights and Responsibilities

2.1 Verification: You shall submit true and valid entity qualification documents and domain ownership proof as required by the Certificate Authority, and shall cooperate in completing all verification procedures. Any failure, delay, or revocation of certificate issuance resulting from your submission of false or inaccurate materials or your failure to complete verification within the required timeline shall be solely at your own risk and liability.

2.2 Scope of Use: You may use the SSL Certificate solely for the approved domain and legitimate business purposes. You shall not sublease, sublicense, transfer, or resell the Certificate, nor use it beyond the authorized domain name or scope of use.

2.3 Deployment and Maintenance: You shall be solely responsible for the deployment, configuration, renewal, and routine maintenance of the SSL Certificate on your servers. We shall not be liable for any failure of the Certificate to take effect due to abnormal server environments or improper deployment operations.

2.4 Technical Limitations: You acknowledge and agree that, due to the current state of technology, SSL Certificates are subject to certain technical limitations and cannot be guaranteed to achieve the intended results in all terminals or under all environments.

3. Usage Restrictions

You shall not engage in any of the following activities:

3.1 Forging or altering the entity information or domain name information contained in any SSL Certificate;

3.2 Applying for an SSL Certificate in the name of another party or using another party's domain name without authorization;

3.3 To provide encryption services for phishing or illegal websites, or concealing the true nature of a website to fraudulently obtain a Certificate;

3.4 To engage in unlawful surveillance, data theft, decryption, or other activities that compromise network security.

4. Specific Disclaimers

4.1 SSL Certificates are provided solely for the technical purpose of encrypted data transmission and server authentication. We make no representations or warranties regarding the commercial value of the Certificate or your website’s operational performance.

4.2 We shall not be liable for any breach of contract arising from the failure to issue, revocation, cancellation, or unusability of the Certificate caused by factors beyond our reasonable control, including but not limited to your entity qualification lapse, changes in domain ownership, or improper deployment.

5. Expiration and Termination

Upon expiration of the Certificate and your failure to renew, the Certificate shall automatically become invalid, and we reserve the right to terminate the related services. We shall not be liable for any loss or damage arising from such expiration.
